What is a Statement of Information?
Statement of Information is a filing that will update the Secretary of State of any changes to your business. Depending on whether you are an LLC or Coporation, it will update your officers and directors or managers and members. It will also update information such as your address, Agent, etc. LLC’s are required to file a Statement of Information within the first 90 days of incorporation and biannually in the month that the business was formed in. Corporations are also required to file a within the first 90 days of incorporation, however, they must file annually in the month the business was formed in.
So, what if nothing has changed?
If no changes have been made to your business, you are still required to submit a statement of information. Also, failure to submit the Statement of Information in a timely matter could result in a $250 fine with the Franchise Tax Board and cause your business to be suspended.
