There are a few things to know when you register an out of state corporation in California. Are you ready to pay an extra state tax fee per year? Are you ready to add on more corporate filings to your company? Or, do you even have the necessary documents to file your registration application? Below is a list of things we thought you should know before you register an out of state corporation in California.
Corporate Name Availability – Is your corporation name available for use in California? If it is, you’re in luck! However, if your company name is not available, you will need to come up with a DBA (doing business as) for your company. We strongly recommend that you start the name search and reservation process before filing your registration documents.
Statement and Designation by Foreign Corporation Form – In order to register an out of state corporation in California, you must complete and file a Statement and Designation by Foreign Corporation form with the California Secretary of State.
Certificate of Good Standing – A Certificate of Good Standing must be issued from the state your corporation was formed in. This certificate must accompany the Statement and Designation by Foreign Corporation form in order for the Secretary of State to accept the documents.
Statement of Information – Once you have filed the Statement and Designation be Foreign Corporation form, you will have 90 days to file the a Statement of Information with the Secretary of State. A Statement of Information filing is also known as an annual reporting. It will notify them of any changes such as your address, corporate officers, directors, etc. Corporations registered to do business in California are required to file a Statement of Information every year in the month that your corporation was registered to do business.
Minimum Tax Fee – Every entity registered to do business in California is responsible to pay the minimum $800 tax fee annually.
