California Secretary of State records requests placed by 12:30 PM PST will be submitted the same day. The Secretary of State will take 3-7 business days to process the request. We will be notified when your documents are available for pick up and e-mail scanned copies to you prior to mailing out the originals.

Not all corporate documents are filed through the Secretary of State. For example, corporate minutes and bylaws will not be obtainable because the Secretary of State will not file them. Below is a list of the most common documents that can be requested from the California Secretary of State Records counter.

Formation documents – The initial filing documents such as the Articles of Incorporation or Articles of Organization can be obtained with records requests.

Amendments – Certificates of Amendment are filed generally when you need to change an article on the formation documents.

Statements of Information – You are required to file a Statement of Information every year (annually) if you have corporation or every other year (biennially) if you have an LLC. They keep most recent Statement of Information and the Last Complete Statement of Information on file. For previous Statement of Information filings, you will need to provide the document file number (not entity number) when submitting a records requests.

Certificate of Status – This certificate will certify the status of an entity. For example, it will certify if an entity is active (good standing), suspended, dissolved, etc.

Certificate of No Record – A Certificate of No Record will be issued if there is no document found for an entity claiming to be registered with California.
