How to File Your Statement of Information

After you file your Articles of Incorporation or LLC:

•  Apply for your EIN (Employer Identification Number) with the IRS

•  Open your bank account

•  File your Statement of Information within 90 days

Requirements – Statement of Information Filings:

Corporations must file a Statement of Information every year.  This can be done on the Secretary of State’s website. The fee for this is $25. We suggest that you order a certified copy of the document after it has been filed through the Records department. We can help you with this.

LLC’s must file a Statement of Information every other year.  This can be done by mail or in person. The fee for this is $20. If filed in person the state charges $350. You will get your document back in 1 business day. We suggest that you submit 2 copies of the document. Also include a payment for an extra $8. They will send you a certified copy of the filing back.

What happens if I don’t file the Statement of Information?

The Secretary of State can and will fine you $250. They call this a failure to file penalty.  If it goes on too long they will suspend your corporation or LLC until it has been filed.

What is a Statement of Information?

A document California uses to know who the owns the business.  It also gives basic information like the business address, agent for service of process, etc.
